The agreement between us.

1. Who this agreement is between

These terms are an agreement between Salasar eCommerce Total Solutions Pvt. Ltd., trading as Arena Softwares, of 235, Old Bagadganj Layout, Shastri Nagar Chowk, Nagpur – 440008, Maharashtra, India (“TaskSync”, “we”, “us”) and the individual or organisation that opens a TaskSync account (“you”, “the customer”).

If you are opening an account on behalf of a company, you confirm you are authorised to bind that company, and “you” means that company.

2. Accepting these terms

You accept these terms by creating an account, by ticking the box that references them at sign-up, or by using the service. If you do not accept them, do not use TaskSync.

3. Your account

• Give us accurate registration details and keep them current.
• Keep your password confidential. You are responsible for everything done under your account until you tell us it has been compromised.
• You must be at least 18 years old.
• The account owner controls the workspace: they can invite and remove members, change roles, and see the content members create in it. If you join a workspace someone else owns, that organisation — not TaskSync — controls your access to it and the data in it.
• Tell us promptly at support@arenasoftwares.com if you become aware of any unauthorised use of your account.

4. Free trial

Paid plans start with a free trial of 30 days. No card is required to begin it. During the trial you get the features of the plan you selected.

At the end of the trial, if you have not subscribed, nothing is charged and the workspace is locked: people can still sign in, the account owner can reach billing, and everyone can reach their own profile, but nothing else until you subscribe. Your data is kept while the workspace is locked. We may limit trials to one per customer and may withdraw a trial where we reasonably suspect abuse.

5. Plans, billing and taxes

• Subscriptions renew automatically for the same term — monthly or annual — until cancelled.
• Payment is taken in advance at the start of each term, using the payment method on file, through our payment processors Stripe and Razorpay.
• Prices are shown exclusive of taxes unless stated otherwise. GST and any other applicable taxes are added at the prevailing rate, and a tax invoice is issued for each payment.
• If a payment fails we will retry it and email you. If it remains unpaid, we may downgrade or suspend the account.
• Upgrading takes effect immediately and is charged pro rata for the remainder of the current term. Downgrading takes effect at the start of the next term.
• We may change our prices. Existing subscriptions keep their price until the end of the current term, and we will give at least 30 days’ notice by email before a new price applies to a renewal.

6. Cancellation and refunds

You can cancel at any time from your billing settings. Cancellation stops the next renewal; it does not end the term you have already paid for, and you keep full access until it ends. After that the account moves to the Free plan: your data is kept, and the Free plan’s limits apply to anything new. Our refund terms are set out in full in the Refund & Cancellation Policy, which forms part of this agreement.

7. Acceptable use

You may not use TaskSync to:

• break the law, or infringe anyone’s intellectual property, privacy or other rights;
• store or transmit malware, or anything designed to damage or gain unauthorised access to a system;
• send unsolicited bulk email, or harvest data about other users;
• probe, scan, or attempt to breach the security of the service, or bypass any usage limit, authentication measure or plan restriction;
• place an unreasonable load on the service, including through automated scraping or excessive API use;
• resell, sublicense or provide the service to a third party except under a partnership agreement with us;
• upload payment card numbers, government identity numbers, or health records — TaskSync is not built to hold data of that kind, and doing so is at your own risk;
• impersonate anyone, or misrepresent your affiliation with a person or organisation.

You are responsible for what the people you invite into your workspace do with it.

8. Your content

Everything you put into TaskSync stays yours. You keep all rights in it. You grant us only the licence we need to run the service for you — to host, store, back up, transmit and display your content, and to make copies for redundancy and disaster recovery.

You are responsible for having the right to put that content into TaskSync, including any personal data belonging to your own staff or clients. For that data you are the controller and we are your processor; how we handle it is described in our Privacy Policy.

You can export your data at any time while the account is active. After termination we keep it for 90 days and then delete it, as set out in the Privacy Policy.

9. Our intellectual property

TaskSync, its software, design, documentation and brand are ours and remain ours. We grant you a non-exclusive, non-transferable, revocable right to use the service during your subscription, for your own internal business purposes. You may not copy, modify, decompile or reverse engineer the service, or remove any notice of ownership from it.

If you send us feedback or suggestions, we may use them without obligation or payment.

10. Availability and support

We work to keep TaskSync available at all times, but we do not guarantee uninterrupted service. We may take the service down for planned maintenance, and we will give reasonable notice for anything significant. Current availability is published on our status page.

Support is provided by email to support@arenasoftwares.com and through the support page. We aim to reply within one business day.

11. Third-party services

TaskSync integrates with services we do not control. If you connect one, its own terms and privacy policy govern what it does with your data, and we are not responsible for it. Removing an integration is your responsibility if you stop wanting the connection.

12. Suspension and termination

You may terminate at any time by cancelling and closing your account.

We may suspend or terminate your account if you materially breach these terms, if payment remains outstanding, or if your use puts the service or other customers at risk. Except where the breach is serious or unlawful, we will give you notice and a reasonable chance to put it right first. On termination, your right to use the service ends immediately; sections 8 to 15 survive.

13. Disclaimers

TaskSync is provided “as is”. To the extent the law allows, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free, that it will meet your specific requirements, or that any defect will be corrected. Nothing here excludes any right you have that cannot lawfully be excluded.

14. Limitation of liability

Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, however it arises.

Our total aggregate liability arising out of or relating to this agreement is limited to the amount you paid us for the service in the 12 months immediately before the event giving rise to the claim.

Neither of us excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

15. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your content, from your use of the service in breach of these terms, or from your breach of the law.

16. Changes

We may change the service, and we may change these terms. For material changes to these terms we will give at least 30 days’ notice by email to account owners and update the date at the top of this page. Continuing to use TaskSync after a change takes effect means you accept it; if you do not, cancel before it takes effect.

17. Governing law

This agreement is governed by the laws of India. The courts at Nagpur, Maharashtra have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. Before starting proceedings, both parties agree to try in good faith to resolve the dispute by discussion.

If any provision of these terms is found unenforceable, the rest remains in force.
